Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Run Club Card mobile application, website, and related services (collectively, the "Service"), operated by Newport Run Club LLC ("Run Club Card," "we," "us," or "our").

By accessing or using Run Club Card, you agree to these Terms.

1. Run Club Card

Run Club Card provides users with access to membership features, participating businesses, discounts, promotions, perks, events, and other benefits that may be made available through the Service.

Available features, participating businesses, discounts, and benefits may change from time to time.

2. Eligibility

You must be legally permitted to use the Service in your jurisdiction.

You are responsible for providing accurate information when creating or maintaining an account and for keeping your account credentials secure.

You are responsible for activity occurring through your account.

3. Memberships, Offers, and Perks

Run Club Card may provide access to discounts, promotions, offers, or other benefits from participating businesses.

Unless otherwise stated:

  • Offers have no cash value.
  • Offers may not be combined with other promotions.
  • Participating businesses may establish reasonable restrictions on redemption.
  • Offers may be modified, suspended, or discontinued.
  • Participation by any particular business is not guaranteed to continue indefinitely.

Participating businesses are responsible for the products and services they provide.

Run Club Card does not guarantee the availability, quality, safety, pricing, or suitability of products or services provided by participating businesses.

4. Acceptable Use

You agree not to misuse Run Club Card.

You may not:

  • Use another person's membership or account without authorization.
  • Fraudulently redeem or attempt to duplicate benefits.
  • Manipulate, copy, reproduce, reverse engineer, or interfere with the Service except where permitted by applicable law.
  • Attempt to gain unauthorized access to the Service or another user's account.
  • Use automated systems to scrape or access the Service without our permission.
  • Use the Service for unlawful, fraudulent, or abusive purposes.
  • Interfere with the operation or security of the Service.

We may restrict or terminate access when we reasonably believe an account is being used fraudulently, unlawfully, or in violation of these Terms.

5. Participating Businesses

Businesses appearing within Run Club Card are independent businesses and are not employees, agents, or representatives of Run Club Card unless expressly stated otherwise.

Transactions between you and participating businesses are between you and the applicable business.

Any purchase, food, beverage, service, event, or other product obtained from a participating business is subject to that business's own policies and terms.

6. Changes to the Service

We may add, modify, suspend, or discontinue features of Run Club Card at any time.

Participating businesses, offers, discounts, benefits, and eligibility requirements may also change.

We do not guarantee that any particular offer, business, feature, or benefit will remain available for any specific period of time.

7. Intellectual Property

Run Club Card and its software, designs, graphics, logos, trademarks, content, and other materials are owned by or licensed to Newport Run Club LLC and are protected by applicable intellectual property laws.

These Terms give you a limited, personal, non-exclusive, non-transferable, and revocable right to use the Service for its intended purpose.

They do not transfer ownership of any Run Club Card intellectual property to you.

Third-party names, trademarks, and logos displayed through the Service belong to their respective owners.

8. Third-Party Services

Run Club Card may contain links to, integrations with, or functionality provided by third-party services.

We are not responsible for the availability, content, privacy practices, products, or services of third parties.

Your use of third-party services may be subject to additional terms and privacy policies provided by those third parties.

9. Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.

WE DO NOT GUARANTEE THAT THE SERVICE WILL ALWAYS BE AVAILABLE, ERROR-FREE, SECURE, OR UNINTERRUPTED.

WE ALSO DO NOT GUARANTEE THAT ANY PARTICULAR PARTICIPATING BUSINESS, DISCOUNT, OFFER, PROMOTION, OR BENEFIT WILL BE AVAILABLE AT ANY PARTICULAR TIME.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEWPORT RUN CLUB LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID DIRECTLY TO RUN CLUB CARD DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

11. Termination

You may stop using Run Club Card at any time.

We may suspend or terminate access to the Service if we reasonably believe you have violated these Terms, engaged in fraud or abuse, created a security risk, or used the Service unlawfully.

Sections that by their nature should survive termination will continue to apply after termination.

12. Privacy

Your use of Run Club Card is also subject to our Privacy Policy, which describes how we collect, use, and protect information.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

Any dispute arising from these Terms will be subject to the jurisdiction of the appropriate state or federal courts located in California, except where applicable law provides you with the right to bring a claim elsewhere.

14. Changes to These Terms

We may update these Terms from time to time.

If we make changes, we will update the Effective Date above. Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
